You further agree not to allow anyone else to use the Services in your name or using your account information and to safeguard the information that would allow another person to access the Services in your name or using your account information. NEITHER CHASE, ANY OF ITS AFFILIATES OR THIRD PARTY AGENTS NOR ANY OF THEIR RESPECTIVE SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR SUPPLIERS, ARE RESPONSIBLE FOR ANY: (A) TELEPHONE, COMPUTER, HARDWARE, SOFTWARE, PROGRAMMING OR INTERRUPTED OR UNAVAILABLE NETWORK, SERVER OR OTHER CONNECTIONS, NETWORK MALFUNCTION, OR OTHER TECHNICAL FAILURES OR ERRORS, OR FAILURE TO PROPERLY PROCESS BIDS, REDEMPTIONS AND/OR SALES; OR (B) COMMUNICATION DISRUPTION OR OTHER FORCES BEYOND THE REASONABLE CONTROL OF CHASE, ANY OF ITS AFFILIATES AND ANY OF ITS THIRD PARTY AGENTS OR THEIR RESPECTIVE SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR SUPPLIERS, INCLUDING INABILITY TO ACCESS THE WEB SITE, SUBMIT BIDS, ORDERS OR OTHER DISRUPTION RELATED TO INTERNET TRAFFIC, VIRUS, BUG, OR UNAUTHORIZED INTERVENTION.
IN NO EVENT WILL CHASE, ANY OF ITS AFFILIATES OR THIRD PARTY AGENTS OR THEIR RESPECTIVE SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR DAMAGES, DIRECT, INDIRECT, SPECIAL OR CONSEQUENTIAL (INCLUDING LOST PROFITS) IN CONNECTION WITH THE USE OF THE SERVICES, EVEN IF NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES.
THE SOLE REMEDIES OF USERS OF THE SERVICES IN THE EVENT OF A BREACH OF THIS AGREEMENT BY CHASE, ANY OF ITS AFFILIATES OR THIRD PARTY AGENTS SHALL BE TO TERMINATE THIS AGREEMENT AND, IF APPLICABLE, HAVE THEIR POINTS RETURNED.
THE LAWS OF SOME STATES DISALLOW LIMITATION OR EXCLUSION BY CONTRACT OF SOME DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATION OF LIABILITY MAY NOT APPLY TO YOU.
You agree to indemnify and hold Chase, any of its affiliates and any of its third party agents and their respective subsidiaries, affiliates, officers, agents, and suppliers, and their respective directors, officers, employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Services, your violation of these Terms and Conditions, or your violation of any law or the rights of a third party.
In redeeming this offer, participant, on behalf of himself/herself and his/her immediate family members (spouse, parents, children and siblings and their spouses) and individuals living in the same households of such participants agrees to release and hold harmless officers, directors, employees, agents, and assigns of Chase and its respective successors, and affiliates, from any and all liability or damage of any kind resulting from or arising from participation in the offer or acceptance, possession, use, misuse or nonuse of the offer (including travel-related activity thereto).
Neither Chase, any of its affiliates nor any of its third party agents is acting as your, or any other party's, agent. The determination of, and liability for, any federal, state or local taxes, as may be applicable, arising out of winning an auction, redemption or purchase, including access to an experience or event shall be your sole responsibility. Further, neither Chase, any of its affiliates nor any of its third party agents can control or warrant the behavior of other users of the Services. You further warrant that you will comply with all applicable laws and regulations regarding the use of the Services. You agree that all auction Rewards, experiences and events redeemed for and/or sold on this site are not refundable, exchangeable, replaceable, redeemable or transferable for cash, credit or other items or points under any circumstances.
Chase reserves the right to cancel any bid or order at any time and to prohibit or restrict access to the Services to anyone at any time, if it determines, in its sole discretion, that you have violated the terms or spirit of these Terms and Conditions, or any other policies or documents referenced herein.

In the event that any of the terms contained in the foregoing policies and agreements conflict with these Terms and Conditions, these Terms and Conditions shall control only in connection with your use of the Services.
